Schick® Quattro® Get Experimental Promotion
OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility: The Schick® Quattro® Get Experimental Promotion (the “Contest”) is open only to legal residents of the fifty (50) United States (including District of Columbia) sixteen (16) years of age or older at the time of participation. Void in Guam, Puerto Rico, the U.S. Virgin Islands, and other U.S. territories and possessions and where prohibited by law. Employees and Members of Schick® Wilkinson Sword, an Energizer Company, its subsidiaries and affiliates, Launchfire or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members (people who share the same residence at least three (3) months out of the year) of each such employee are not eligible. The Contest is subject to federal, state, provincial, and local laws and regulations and is void where prohibited by law.

2. Sponsor: Sponsor is Schick Wilkinson Sword, an Energizer Company, 10 Leighton Rd. Milford, CT 06460. Administrators are Launchfire, Inc. 1547 Chatelain Ave., Ottawa, ON K1Z 8B6 and YouTube, Inc. 901 Cherry Avenue, San Bruno, CA 94066 (the “contest parties”)
3. Agreement to Official Rules: Participation in the Contest constitutes a participant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Judges, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. Persons who have not affirmatively indicated their acceptance of the Official Rules are not eligible to participate or win.

4. Contest Period: The contest begins on February 26, 2008 at 12:00 p.m. Eastern Time (“ET”) and ends on April 8, 2008 at 12:00 p.m. ET (the “Contest Period”). The contest consists of two (2) phases as set forth below:

Phase 1:

  • Submit a video beginning 12:00 p.m. ET on February 26, 2008 and ending at 9:00a.m. ET on March 18, 2008.
  • Rate a video beginning 12:00 p.m. ET on February 26, 2008 and ending at 12:00 p.m. ET on March 18, 2008.

Phase 2:

  • Vote to determine the winning video between 12:00 p.m. ET on March 25, 2008 and ending at 12:00 p.m. ET on April 8, 2008.

Administrator’s computer is the official time keeping device for the Contest.

5. To Enter: To enter a video in the Contest (a “Submission”), go to www.YouTube.com/Schick (the “Site”) during the Submission Phase, register and submit your video. Each video should be submitted only once. Your video must meet the requirements set forth in Section 7 below. All materials become the property of the Sponsor and will not be returned.

6. CONTEST TERMS OF SUBMISSION: As conditions of entry into this Contest, and by uploading a Submission, each Entrant:

  • WARRANTS AND REPRESENTS THAT THE ENTRANT OWNS ALL RIGHTS TO THE SUBMISSION HE/SHE IS ENTERING IN THIS CONTEST, INCLUDING, WITHOUT LIMITATION, THE VIDEO OR DIGITAL RECORDING, AND THE PERFORMANCE CONTAINED IN EACH SUBMISSION;
  • WARRANTS AND REPRESENTS THAT THE ENTRANT IS THE INDIVIDUAL PICTURED AND HEARD IN THE SUBMISSION, OR, ALTERNATIVELY, THAT THE ENTRANT HAS OBTAINED PERMISSION FROM EACH PERSON WHO APPEARS IN THE SUBMISSION TO GRANT THE RIGHTS TO THE SPONSOR DESCRIBED IN THESE RULES, AND CAN MAKE WRITTEN COPIES OF SUCH PERMISSIONS AVAILABLE TO THE SPONSOR UPON REQUEST;
  • WARRANTS AND REPRESENTS THAT HIS/HER SUBMISSION(S): (a) ARE ORIGINAL TO THE ENTRANT AND HAVE BEEN LEGALLY OBTAINED AND CREATED, (b) DO NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, OR VIOLATE APPLICABLE LAWS, REGULATIONS, OR NETWORK STANDARDS; (c) HAVE NOT BEEN ENTERED IN OR WON PREVIOUS CONTESTS OR AWARDS; AND (d) HAVE NOT BEEN PUBLISHED PREVIOUSLY IN ANY MEDIUM;
  • Irrevocably grants to Sponsor and its affiliates, legal representatives, assigns, agents and licensees, the unconditional and perpetual right and permission to copyright (as appropriate), reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entrant's name, address, image, voice, likeness, statements, biographical material and Submission, including, but not limited to, the video or digital recording and performances contained in any of the above items (in each case, as submitted or as edited/modified in any way by the Sponsor, in the Sponsor's sole discretion), as well as any additional photographic images, video images, portraits, interviews or other materials relating to the Entrant and arising out of his/her participation in this Contest (with or without using the Entrant's name) (collectively, the “Additional Materials”) in any media throughout the world for any purpose, without limitation, and without additional review, compensation (except if required by law), or approval from the Entrant or any other party.
  • Acknowledges and agrees that, if Entrant's Submission is chosen as a “Finalist” (as defined in Section 8 below), the Entrant will execute an Affidavit of Eligibility and Liability Release, in which the Finalist will irrevocably assign and transfer to the Sponsor any and all rights, title and interest in Submission, including, without limitation, all copyrights, and waive all moral rights in that Submission.
  • Forever waves any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude the Sponsor's use of the Entrant's Submission or Additional Materials, or require the Entrant's permission for Sponsor to use them for any purpose, and agrees to never sue or assert any claim against the Sponsor's use of those Materials under any theory of contract or tort law; and
  • Agrees to indemnify and hold the Sponsor and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the “Promotion Indemnitees”), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Promotion Indemnitees due to or arising out of the Entrant's Entry Materials or Additional Materials in this Promotion, or the Entrant's conduct during and in connection with this Promotion, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation.
  • Agrees to release, indemnify and hold harmless Sponsor from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringes on the rights of Entrant's work as contained in any Submission.
  • Participants must adhere to YouTube’s Terms of Use and Community Guidelines as well as Schick Terms of Use and Privacy Policy.

7. SUBMISSION FORMAT AND CONTENT REQUIREMENTS.

Creative Assignment for the Contest:

Schick® wants you to GET EXPERIMENTAL with your look. Upload your video that shows  how a smooth or finely sculpted look, achieved with the New Schick® Quattro® Titanium razor and Schick® Quattro® Titanium Trimmer, gives you the confidence that takes you to places you’ve only dreamed of going.

Submission Phase – Submitting a video (February 26th, 2008 at 12:00 p.m. ET – March 18th, 2008 at 9:00 a.m. ET):

  • Users must be a member of YouTube.com in order to submit a video. To complete your free YouTube registration go to http://youtube.com/signup
  • Users must also be in possession of their original/raw video file in the event they move onto the voting round.
  • Go to (www.YouTube.com/Schick), fill out the registration form, located on the page, completely (if the form is not completed in its entirety and/or if the information is not correct, the video submission will be rejected from the contest)
  • Registration form only needs to be filled out once
  • Upload your video according to the YouTube.com steps and guidelines 
  • Videos that comply with the Schick® Quattro® Get Experimental Official Rules and YouTube.com Terms of Use and Community Guidelines will be approved to enter the contest

Submission Phase – Rating a Video (February 26th, 2008 at 12:00 p.m. ET – March 18th, 2008 at 12:00 p.m. ET):

  • Approved submissions will be rated by the public based on the video’s Experimental Creativity. At the close of the Submissions Period, videos with a 50% or better “thumbs-up” rating will be considered by the official judges for the voting period.
    • “Thumbs up” approval rating is determined by total number of “thumbs up” divided by total number of “thumbs up” and “thumbs down”
  • The top 50% of videos will then be judged by the Sponsor and Sponsor’s agency based on the following criteria:

Judging Requirements

The judging criteria (“Judging Criteria”) is as follows:

    • 50% Creativity and Originality
    • 25% Expression of the effects of a shave with the Schick® new tools
    • 25% Suitability for use in Schick® Quattro® online advertising
      • In the event of a tie, the official judges will determine the winning video(s) based on suitability for use in Schick® Quattro® online advertising

Voting Period (March 25, 2008 at 12:00 p.m. ET – April 8, 2008 at 12:00 p.m. ET):

  • 20 videos will move on to the voting phase based on the Sponsor’s discretion
  • The public will then vote for the video that they feel best represents the most Experimental Creativity.
  • A user can only vote once on every video in the contest each day
  • The video with the highest approval rating (“Thumbs-up”) will be considered the winner. Approval rating is defined by total number of “thumbs up” divided by total number of “thumbs up” and “thumbs down”
  • Users do not have to be registered YouTube users in order to vote.  
Technical Requirements  - Video file(s) of any Submission entered in the Contest must be between :30 second and 3 minutes long length
    • The maximum file size for any single video file is 100MB
    • Typically accepted formats are:
      • .WMV, .AVI, .MOV, and .MPG
    • Suggestion on best quality camera/camcorder settings are:
      • MPEG4 (Divx, Xvid) format
      • 640x480 resolution
      • MP3 audio
      • 30 frames per second
    • Videos submitted by email will not be accepted. Only videos submitted through YouTube.com will be considered. Finalists must provide the raw file of their video to Sponsor in order to move on to the voting round
    • Additional Requirements
      • Submissions must be in English
      • No swearing
      • No nudity
      • Nothing violent or offensive
      • No weapons
      • No drug use, smoking nor drinking of alcohol
      • No image and/or artwork that you did not create, not including minimal use
      • Any materials that are unlawful
      • Nothing defamatory
      • No threats of violence
      • Submissions will not be returned. Sponsor may, in their sole discretion, remove, delete and/or disqualify Submissions deemed to be inappropriate or otherwise non-compliant.
      • Submission must not contain any copyrighted works.
      • All submissions will be reviewed for content before being published or judged; however, such review does not relieve Entrant from responsibility for compliance with the Official Rules. Submissions that do not comply with the Official Rules or that otherwise contain prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be published or considered for a prize. Sponsor makes the final determination as to which Submissions are eligible to take part in this Contest and be considered for a prize.

8. Selection of Winners: During the Submissions Period users will go the Schick® Quattro® YouTube.com brand channel and review the submissions and give each either a thumbs up or thumbs down rating. Submissions in the top 50% (total rating by total number of thumbs up) will then be considered by the Sponsor for the Voting Period. The top 50% of videos will be judged using the criteria outline above in Section 7. The top twenty (20) finalist Submissions (“Finalist”) will be selected by a judging process in which a qualified panel of judges (“Judges”) will evaluate each eligible submission based on the judging criteria (defined in Rule 7 above). If less then twenty (20) eligible Submissions are submitted there will only be that number of Finalists. In the event of a tie for the twentieth Finalist spot, the tie will be broken based on the highest score in the first Judging Criteria, continuing thereafter to each Judging Criteria in order, as needed to break the tie. The finalist will be posted for the public (ages 16 or older) to vote on their favorite at www.YouTube.com/Schick starting on or about March 25, 2008 at 12:00PM ET and ending on or about April 8, 2008 at 12:00PM ET (“Voting Period”). During the Voting Period a user can only vote once on every video in the contest each day. At the close of the Voting Period, the one (1) Submission that receives the highest approval rating (total “thumbs-up” divided by total “Thumbs-up” and “Thumbs-down”) will be deemed the Prize Winner. In the unlikely event that public voting results in a tie, the tied submissions will be re-judged by the Judges based on the judging criteria stated above. All Finalists are subject to verification, including without limitation, verification of eligibility, ability to send the raw video file, compliance with these Official Rules and completion of release forms (described below). If attempted notification is returned as undeliverable, if a Finalist cannot be verified, or if a Finalist is otherwise unable to accept prize, prize will be forfeited and may be awarded to an alternate Finalist provided sufficient time remains, in Sponsor’s discretion.
Entrants agree that the Sponsor has the sole right to decide all matters and disputes arising from this Contest and that all decisions of Sponsor are final and binding. Finalists, by acceptance of the Finalist Prize (defined in Rule 10 below), agree to release, indemnify and hold harmless Sponsor, as well as each of their respective parent and affiliated companies, and each of their employees, representatives, contractors, advertisers and sponsors from any and all liability, loss, damage, cost or claim relate to any allegation regarding the acceptance or use of their prize, including but not limited to the airing of the commercial submission.

9. Verification of Potential Winner: Potential winner must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. The potential winner will be required to sign and return to Sponsor, within two (2) days of the date notice is sent, an affidavit of eligibility, and liability/publicity release (except where prohibited) in order to claim his/her prize if applicable. If the potential winner cannot be contacted, fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period (if applicable), or if the prize or prize notification is returned as undeliverable, potential winner forfeits prize.

10. Prize: ONE (1) PRIZE WINNER: One (1) prize winner will receive Twenty Five thousand Dollars ($25,000) and their video may be displayed in Sponsor’s online banner ads and on the Schick® YouTube brand channel page. Prize is non-transferable or refundable, must be accepted as awarded and have no warranty; no cash redemption and no prize substitutions allowed, except by Sponsor who reserves the right to substitute a prize of equal or greater value for any reason. All taxes, other costs and expenses on prize are winner’s sole responsibility. Odds of winning will depend on number of eligible Entries received.

11. General Conditions: In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize in a random drawing of all eligible participants at the time of the impairment. The Sponsor is only responsible for funding the prize set forth above. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. In the event of a dispute as to any registration, the authorized account holder of the e-mail address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted email address.

12. Release and Limitations of Liability: Except where prohibited, by registering and/or participating in the Contest, respondents agrees to release and hold harmless the Sponsor, its related companies, and its respective officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of preparation for or actual participation in the Contest or receipt or use of the prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Contest; (f) loss or damage to Submissions; or (g) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant’s preparation for or participation in the Contest or receipt or use of the prize. Except where prohibited, participant agrees that: (a) any and all claims, judgments and awards allowed under the Official Rules shall be limited to actual out-of-pocket costs incurred, including costs associated with participation in the Contest but in no event attorneys’ fees; and (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above may not apply to you.

13. Disputes: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, other than those concerning the administration of the Sweepstakes or the determination of winners, shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved exclusively by the United States District Court or the appropriate Missouri State Court located in St. Louis., Missouri; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses , and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Missouri, without giving effect to any choice of law or conflict of law rules (whether of the State of Missouri or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Missouri.

14. Privacy: Sponsor collects personal information from you when you enter the sweepstakes. The information collected is subject to the privacy policy of Sponsor at http://schickquattro.com/privacy.cfm

15. Results: For the name of the winner, send a stamped, self-addressed envelope to: Launchfire, Inc. 1547 Chatelain Ave., Ottawa, ON K1Z 8B6 before June 1, 2008.
